Re       Resolutions of the Board of Directors Meeting No. 374

This is to inform you that the meeting of the Board of Directors of Christiani & Nielsen (Thai) Public Company Limited No. 374 was held on 14th November 2007 at 10.00 hours, at the office of the Company and has passed a resolution to approve the investment of Baht 1.8 million in PAN ASIA – CNT Joint Venture, based on joint investment proportions as follows:

 

1. Christiani & Nielsen (Thai) Public Company Limited 45 percent

2. Pan Asia Engineering & Construction (Thailand) Co., Ltd.      55 percent

                (The company is not a connected person under the

     Notification of the board of the Governors of the SET)

                       

In this respect, PAN ASIA – CNT Joint Venture has signed contract for the construction of the civil work of HMC PDH petrochemical plant with CTCI (Thailand) Co., Ltd. with a total Contract Value of Baht 208 million, which is considered to be an ordinary course of business on an arm’s length basis
